   Im Wesentlichen ja, mit einer Präzisierung: Die Beratung soll ausdrücklich projektbegleitend erfolgen. Wir hatten beim letzten Auftrag die Erfahrung gemacht, dass Empfehlungen ohne Implementierungsbegleitung in der Schublade landen.

   Essentially yes, with one qualification: the consulting should explicitly accompany the project. With the last contract we had the experience that recommendations without implementation support end up in the drawer.

   Diesem Argument können wir uns anschließen. Damit stellt sich die Frage des Leistungsumfangs: Sollen die Implementierungstage im Festpreis enthalten oder als Kontingent abgebildet werden?

   We can subscribe to that argument. That raises the question of scope: should the implementation days be included in the fixed price or represented as a contingent?

4. Einkaufsleiterin

   Ein Kontingent hätte unsere Präferenz, allerdings mit einer Obergrenze, die nicht ohne weiteres überschreitbar ist. Uneingeschränkte Kontingente haben erfahrungsgemäß die Eigenschaft, sich eigenständig zu vergrößern.

   A contingent would be our preference, though with a ceiling that cannot be exceeded at will. Unlimited contingents, as experience shows, have the property of growing on their own.

5. Berater

   Zugestanden. Mein Gegenvorschlag: fünfzig Implementierungstage als Kontingent, darüber hinaus nur mit schriftlicher Freigabe durch Ihre Abteilung. Im Gegenzug bitten wir um eine verbindliche Abnahmeprozedur für die Arbeitsergebnisse.

   Granted. My counter-proposal: fifty implementation days as a contingent, beyond that only with written approval from your department. In return we ask for a binding acceptance procedure for the work results.

6. Einkaufsleiterin

   Die Abnahme können wir innerhalb von zehn Werktagen zusagen. Wie gestalten Sie die Haftung, insbesondere bei den Prozessänderungen? Unser Vorstand ist diesbezüglich sensibel, seit einem Audit mit Beanstandungen.

   We can commit to acceptance within ten working days. How do you design liability, especially regarding the process changes? Our board is sensitive in that regard since an audit with objections.

7. Berater

   Wir haften nach den Branchenstandards, gedeckelt auf das Auftragsvolumen. Nicht gedeckelt sind Vorsatz und grobe Fahrlässigkeit — das ist gesetzlich ohnehin unverzichtbar. Zusätzlich bieten wir eine Berufshaftpflicht mit fünf Millionen Euro an, die wir Ihnen beilegen.

   We are liable per industry standards, capped at the contract volume. Intent and gross negligence are not capped — that is legally indispensable anyway. Additionally we offer professional liability insurance of five million euros, which we'll enclose for you.

8. Einkaufsleiterin

   Das wäre zu unseren Gunsten akzeptabel. Bleibt das Zahlungsziel. Dreißig Tage netto stehen in Ihrem Entwurf — unsere Konzernrichtlinie sieht sechzig Tage vor, bei Skonto innerhalb von vierzehn Tagen zwei Prozent.

   That would be acceptable in our favor. What remains is the payment term. Thirty days net is in your draft — our group policy provides for sixty days, with two percent discount within fourteen days.

9. Berater

   Sechzig Tage könnten wir bei diesem Volumen nicht verantworten. Kompromissvorschlag: vierundvierzig Tage, bei Zahlung innerhalb von zehn Tagen zwei Prozent Skonto. Bei fristgerechter Zahlung gewähren wir Ihnen zudem eine Bonusmeilenregelung für Folgeaufträge — falls Sie von den Ergebnissen überzeugt sind, was ich annehmen darf.

   Sixty days we could not justify with this volume. Compromise proposal: forty-four days, two percent discount for payment within ten days. With punctual payment we'll additionally grant you a bonus arrangement for follow-up contracts — assuming you're convinced by the results, which I may assume.

10. Einkaufsleiterin

    Vierundvierzig Tage mit Skonto — darüber kann ich mit dem Vorstand sprechen. Ich schlage vor, wir halten den Stand in einem Memorandum fest und nehmen die Vertragsänderungen in der nächsten Woche vor.

    Forty-four days with discount — I can speak with the board about that. I suggest we record this position in a memorandum and make the contract amendments next week.

11. Berater

    Einverstanden. Ich lasse Ihnen das Memorandum noch heute unterzeichnet zukommen. Und darf ich anmerken: Die Verhandlung war in aller Freundlichkeit bemerkenswert sachlich — das ist bei diesem Volumen keine Selbstverständlichkeit.
